Bitflow, Inc. Merchant Terms and Conditions

1. Introduction

Welcome to Bitflow, Inc. ("Bitflow," "we," or "us"). Bitflow is an online payment processor designed to facilitate transactions between merchants and customers using cryptocurrencies and digital payments.

These Terms and Conditions govern the use of Bitflow’s payment processing services, including the website and any other related services (collectively, the "Services"). By using our Services, you agree to these Terms and Conditions, as well as our Privacy Policy and other referenced agreements.

Merchants using these Services are referred to as "Merchants" or "you" , while your customers are referred to as "Customers."

Please read these Terms carefully, including Sections 9 and 10, which address cryptocurrency risks and indemnification.

We may update these Terms at any time, with or without notice. If a substantial change affects your rights, we will provide at least 30 days’ notice before implementation. Continued use of the Services constitutes acceptance of the revised Terms.

2. Our Services

Bitflow is a cryptocurrency payment processor, allowing merchants to accept payments in supported digital assets.

We facilitate payments but do not issue digital currencies.

Transactions are automated between Customers, Merchants, and Bitflow’s banking partners.

3. Use of the Services

Bitflow grants Merchants a limited, non-transferable, non-sublicensable license to use the Services only for processing payments from Customers.

Merchants may not:

  • Modify, distribute, or reuse Service content without written permission.
  • Remove copyright or proprietary notices.
  • Interfere with the operation of the Services.
  • Reverse engineer or create derivative works of our technology.

Depending on your country, you may have legal restrictions on the use of digital currencies. It is your responsibility to ensure compliance with local regulations.

4. Merchant Account Setup & Compliance

Merchants must create an account ("Account") to access the Services.

Account Requirements
  • Provide accurate and complete business information.
  • Notify us within 10 business days of any changes.
  • Authorize Bitflow to verify your business details for compliance (AML, KYC).

Security Responsibility
  • You are fully responsible for the use of your account credentials.
  • If you suspect unauthorized access, notify Bitflow immediately.
  • Bitflow reserves the right to suspend or terminate accounts for suspected fraud or non-compliance.
5. Intellectual Property Rights

Bitflow and its trademarks are legally protected.

Merchants may use Bitflow branding only to indicate payment acceptance.

Any unauthorized use of Bitflow’s intellectual property is strictly prohibited.

6. No Warranties & Limitation of Liability

Bitflow provides Services "as is" and makes no warranties, expressed or implied, including:

  • No guarantee that services are uninterrupted or error-free.
  • Not responsible for transaction delays, network failures, or fraud.
  • No liability for third-party system failures.
Limitation of Liability
  • Bitflow’s total liability for any claim will not exceed the transaction fees paid by the Merchant in the last 12 months.
  • Some jurisdictions may limit these exclusions—check your local laws.
7. Third-Party Websites & Links

Bitflow is not responsible for external websites linked from our platform.

8. Geographic Restrictions

While Bitflow operates globally, some features may not be available in certain jurisdictions due to local financial laws.

Merchants are responsible for ensuring local compliance with regulations regarding cryptocurrency transactions.

9. Cryptocurrency Risks

Using cryptocurrencies carries significant risks, including:

  • Market Risk – Prices fluctuate rapidly, and you bear all risks of price changes.
  • Liquidity Risk – There is no guarantee of active markets for certain digital assets.
  • Regulatory Risk – Some governments restrict cryptocurrency use. Compliance is your responsibility.
  • Exchange & Custody Risks – Holding crypto comes with hacking, security, and contractual risks.
  • Trading Risks – Crypto values are highly volatile. Merchants must monitor market conditions carefully.

Bitflow does not assume liability for crypto price volatility or legal risks related to your jurisdiction.

10. Indemnification

Merchants agree to indemnify and hold harmless Bitflow and its affiliates from:

  • Claims arising from breach of these Terms.
  • Regulatory violations related to your crypto use.
  • Any fraudulent or illegal activity associated with your account.

This indemnification does not apply to cases of Bitflow’s gross negligence or misconduct.

11. Fees

Bitflow charges a transaction processing fee, which is subject to change. Current fees will be displayed in your Merchant portal.

12. Payment Processing & Settlements
Accepted Currencies

Merchants may receive settlements in fiat currency or supported cryptocurrencies.

Settlement Timelines
  • USD & major fiat: 1-4 business days (subject to banking hours).
  • Cryptocurrency payouts: Processing time varies based on network confirmation times.

Merchants assume all exchange rate risks when selecting crypto payouts.

13. Taxes

Merchants are solely responsible for tax compliance.

  • Bitflow does not calculate, collect, or remit taxes on your behalf.
  • You must report and pay applicable taxes in your jurisdiction.
  • Bitflow may report transaction data to tax authorities if legally required.
14. Record-Keeping & Audits
  • Merchants must retain records related to transactions.
  • Bitflow may conduct periodic audits to ensure compliance.
  • Failure to provide records upon request may result in account suspension.
15. Account Termination

Bitflow may suspend or terminate accounts for:

  • Fraud or illegal activity.
  • Violation of compliance requirements.
  • Failure to meet security standards.

Upon termination, you must cease using our services immediately.

16. Dispute Resolution & Arbitration
  • Any disputes will be resolved through binding arbitration under Dubai law.
  • Arbitration will be conducted in English.
  • Bitflow may seek injunctive relief if intellectual property or security is at risk.
17. Severability & Governing Law
  • If any part of these Terms is found to be unenforceable, the remainder remains in effect.
  • These Terms are governed by the laws of Dubai, UAE.
